Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “user”), and BioSight Innovations (“BioSight,” “we,” “us,” or “our”), concerning your access to and use of the biosightinnovations.com website as well as any other media form, media channel, or website related, linked, or otherwise connected thereto (collectively, the “Site”).
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Site and must discontinue use immediately.
Supplemental terms and conditions or documents that may be posted on the Site from time to time, including our Notice of Privacy Practices and HIPAA Privacy Policy, are expressly incorporated herein by reference.

1. Website Owner & Nature of the Site
This Site is owned and operated by BioSight Innovations, a Thyroid Eye Disease (TED) specialty clinic and research organization. BioSight Innovations provides informational content regarding Thyroid Eye Disease, clinical care services, research and clinical trial information, and the ability to request appointments and contact our team.
Important: The Site is informational and administrative in nature. It does not provide medical diagnosis or treatment. Use of the Site, including submission of a contact or appointment request form, does not establish a physician-patient relationship between you and BioSight Innovations or any of its physicians. A physician-patient relationship is only established once you have been formally accepted as a patient through an in-person or authorized telehealth clinical encounter.

2. Medical Disclaimer — Not a Substitute for Professional Medical Advice
MEDICAL DISCLAIMER
The content available on the Site, including text, graphics, images, and other material, is provided for general informational and educational purposes only and is not intended to be, and should not be construed as, medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on the Site.
-
If you believe you are experiencing a medical emergency, including sudden vision loss, severe eye pain, or any other urgent symptom, call 911 or go to your nearest emergency room immediately. Do not rely on the Site or any form submission for urgent or emergency communication.
-
BioSight Innovations does not guarantee any specific treatment outcome. Individual results vary based on each patient's unique clinical presentation, and descriptions of treatments, technologies, or research on the Site (including teprotumumab therapy, surgical procedures, or investigational devices) are not promises or guarantees of efficacy for any particular individual.
-
Information on the Site regarding clinical trials, research programs, or investigational therapies is provided for general awareness only and does not constitute an offer or guarantee of trial enrollment or eligibility.
3. Who May Use the Site; Eligibility
In order to use the Site, including submitting any form or requesting an appointment, you must be at least 18 years of age, or be accessing the Site on behalf of a minor under the supervision and with the consent of a parent or legal guardian who agrees to be bound by these Terms on the minor's behalf.
You represent that all information you submit through the Site (including in any contact, appointment request, or referral form) is true, accurate, current, and complete, and you agree to update such information as necessary to keep it accurate.
You may not use the Site if you are prohibited from receiving services under the laws of the United States or any other applicable jurisdiction, or if your use would violate any applicable law or regulation.
4. Appointment Requests, Referrals & Clinical Trial Inquiries
The Site allows visitors to submit requests for appointments, physician referrals, and clinical trial or research inquiries. Submission of a form through the Site is a request only and does not guarantee that an appointment will be scheduled, that a referral will be accepted, or that you will be deemed eligible for any clinical trial or research study.
-
All appointment requests are subject to confirmation by our clinical team and are not final until you receive direct confirmation from BioSight Innovations.
-
Submission of a clinical trial or research inquiry does not constitute enrollment. All research participation requires a separate, formal informed consent process conducted in accordance with applicable IRB-approved protocols, federal regulations (including 45 CFR Part 46 and 21 CFR Parts 50 and 56), and Good Clinical Practice standards.
-
Physician referrals submitted by other healthcare providers through the Site are reviewed by our clinical team, and acceptance of a referral does not guarantee a specific appointment date or treatment outcome.
-
Do not submit detailed protected health information (PHI) through general contact forms on the Site. Use only the secure channels we designate for the transmission of medical records or sensitive health information.
5. Privacy & Protected Health Information
Your use of the Site is also governed by our Privacy Policy and, where applicable to your status as a patient, our Notice of Privacy Practices issued in compliance with the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its implementing regulations. By using the Site, you acknowledge that you have had the opportunity to review these policies.
Information submitted through general website forms (such as newsletter sign-ups or general contact inquiries) is handled in accordance with our Privacy Policy. Information you provide in the course of an established patient relationship is treated as protected health information and handled in accordance with HIPAA and our Notice of Privacy Practices.
6. Retention of Right to Change Offering
We may, without prior notice, change, suspend, or discontinue any aspect of the Site, including the availability of any feature, content, service description, or research program information. We may impose limits on certain features or restrict your access to parts of the Site without notice or liability.
Descriptions of treatments, technologies, research programs, and clinical trial availability on the Site are subject to change as our clinical practice and research portfolio evolve, and do not constitute a binding offer of any specific service.
7. Intellectual Property Rights
Unless otherwise indicated, the Site and all content and materials therein or transferred thereby, including without limitation software, text, graphics, logos, the BioSight Innovations name and brand marks, images, photographs, illustrations, research summaries, publications excerpts, and all intellectual property rights related thereto, are the exclusive property of BioSight Innovations or its licensors and are protected by copyright, trademark, and other intellectual property laws of the United States and other countries.
Except as expressly provided in these Terms, nothing herein shall be construed as granting you any license or right to use, reproduce, distribute, modify, create derivative works from, publicly display, or publicly perform any content on the Site without our prior written consent.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal, non-commercial, informational purposes, subject to your compliance with these Terms.
8. Prohibited Activities
You agree not to access or use the Site for any purpose other than that for which we make the Site available. Prohibited activities include, without limitation:
-
Submitting false, misleading, or fraudulent information through any form on the Site
-
Attempting to gain unauthorized access to the Site, other users' accounts, or our systems and networks
-
Using any automated system, including “robots,” “spiders,” or “offline readers,” to access the Site in a manner that sends more request messages than a human can reasonably produce in the same period
-
Uploading or transmitting viruses, malware, or any other malicious code
-
Attempting to circumvent, disable, or otherwise interfere with security-related features of the Site
-
Using the Site to harass, abuse, or harm another person, or to impersonate any person or entity
-
Using the Site in any manner inconsistent with applicable healthcare laws or regulations
9. Third-Party Links and Content
The Site may contain links to third-party websites or resources, including links to published research, clinical trial registries (such as ClinicalTrials.gov), or affiliated institutions such as UCLA. Such links are provided for your convenience only. We do not endorse and are not responsible for the content, accuracy, or practices of any third-party website, and your use of any third-party website is at your own risk and subject to that website's own terms and policies.
10. Warranties & Limitation of Responsibility
THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BIOSIGHT INNOVATIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We make no warranty that the Site will meet your requirements, be available on an uninterrupted, timely, secure, or error-free basis, or that the results obtained from use of the Site (including the accuracy of any general medical or research information) will be accurate or reliable. Clinical and treatment-specific warranties, if any, are addressed separately and exclusively within the applicable patient care agreements and informed consent documentation executed directly with our clinical team — never through this Site.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIOSIGHT INNOVATIONS, ITS PHYSICIANS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms is intended to limit any liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or claims arising from actual clinical care provided directly to a patient, which are governed by separate patient care agreements, informed consent documents, and applicable standard-of-care and medical malpractice laws — not by these Terms.
12. Indemnification
You agree to defend, indemnify, and hold harmless BioSight Innovations and its officers, directors, employees, physicians, agents, licensors, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your misuse of the Site.
13. Right to Suspend or Restrict Access
We reserve the right, without notice and in our sole discretion, to restrict, suspend, or terminate your access to all or any part of the Site at any time and for any reason, including if we believe you have violated these Terms, engaged in fraudulent or harmful activity, or otherwise misused the Site. This right is independent of, and does not affect, any rights or remedies you may have under a separate patient care relationship with BioSight Innovations.
14. Promotional Communications
If you submit your contact information through the Site (for example, by subscribing to our newsletter or submitting a contact form), you agree that we may send you informational and, where you have separately opted in, promotional communications regarding BioSight Innovations, our services, and relevant TED research updates. You may opt out of non-essential communications at any time by following the unsubscribe instructions in any email or by contacting us directly. Communications relating to your active clinical care are not promotional and cannot be opted out of through this mechanism.
15. Right to Modify These Terms
We reserve the right, in our sole discretion, to modify these Terms at any time. When we make material changes to these Terms, we will update the “Last Updated” date at the top of this page and, where appropriate, provide additional notice on the Site. Your continued use of the Site following the posting of any changes constitutes acceptance of those changes. If you do not agree to the modified Terms, you must discontinue use of the Site.
16. Governing Law & Dispute Resolution
These Terms, and any dispute arising out of or related to the Site or these Terms, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising hereunder shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
This governing law provision applies solely to disputes arising from use of the Site itself. Any dispute concerning the standard of clinical care provided to a patient is separately governed by applicable state healthcare and medical malpractice law and is not subject to this provision.
17. Severability & Entire Agreement
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. These Terms, together with our Privacy Policy and Notice of Privacy Practices, constitute the entire agreement between you and BioSight Innovations regarding use of the Site and supersede any prior agreements.
